I can't say I'm up on all the technical issues of doing so, but beyond symply moving the data over, to avoid dated looking graphics, they would have to rework their maps and models to a higher polygon count, and most likely would have to rework textures to be higher quality. Plus, all the custom code would have to be ported to the Unreal Warfare engine.
