I'd take the Abit over the Asus, just because of all the options and I like it a bit better. They both go neck in neck on overclocking, whether that is your cup of tea or not.
You can disable the onboard sound, and you will want to; as it's not the greatest.
Yes the only difference between the two is the raid controller. However I would recommend buying the raid version incase you use it later down the road, or just use it as extra ATA100 controller (no actual raid)
