Once you upgrade, your old XP / Vista product key will be DEACTIVATED. So do not use any XP or Vista product key that you plan on using again. The product key will be rejected when you attempt to authorize online.
What happens if my hard drive fails and I need to reinstall windows on a new one, and since I have to install vista first... but the product key of vista is now deactivated... How would I validate my upgrade version???

    Please tell me
They don't have a decent piece of fruit at the supermarket. The apples are mealy, the oranges are dry... I don't know what's going on with the papayas!

Just install Vista without a product key... you don't have to put one in.

You don't need to install Vista before installing Windows 7.
The upgrade version of Windows 7 can be installed on an empty drive.

This seems to be a huge point of contention, and there's tons of conflicting information out there about this.

Thank you for spelling it out clearly and unambiguously. I've been trying to track down a real answer on this for awhile now.
