A Geforce2 64 5 ns. Pro + Geforce MX is worth in exchange of a Visiontek Geforce3 ?

friend of mine whant to trade his Retail Box Visiontek GF3 for my New Geforce Pro Retail + my Retail MX .
I think this is a good trade no ??
And also how much CPU you need to push a Geforce3 @ good performances , ...i hawe right now a P III 1000 mhz but i will get a Epox 8K7A + 1.33 @ 1600mhz/mcx370 and 512 Crucial DDR 2100 if the 1000 mhz is not enough powerfull.
Do you think that the extra 600mhz will make a big difference with this Geforce3 or is just not worthit.

I did not ask if my P III is outdated !!!,... i just ask if it has plenty of power to push a GF3 .
My P III @ 143 FSB is actualy may be 8% less faster than yours 1.2 TB in 3D apps and games .
Right now something like a Celeron 600 or Duron is may be outdated but not a 1 Ghz CPU.
