I had the same problem until I made the 32-bit version boot disks. Same steps as SkyDog mentioned except use:
makebt32.exe
instead of makeboot.exe.
Use MAKEBOOT.EXE if your running the program from a DOS or Windows 9x boot floppy command prompt. Use MAKEBT32.EXE if you're running the program from within Windows.
